Upstate Totes Rental Agreement
Effective Date: October 18, 2026
This Rental Agreement is between Upstate Totes LLC, 201-B West Butler Rd, Suite 120, Mauldin, SC 29662, and you, the person who books the rental. In this agreement, "we" and "us" (and "Upstate Totes") mean Upstate Totes LLC and its owner(s) (members and managers), and "you" (or "Customer") means the person who books. When this agreement limits our liability, gives us a release, or asks you to cover our costs, those protections also apply to our employees, agents, and contractors, and to anyone who later takes over the business. Please read it carefully. It explains what you're renting, what you're responsible for, and what happens if something goes wrong. By booking, you agree to it.
1. What You're Renting
You are renting reusable moving totes and, where included, dollies (together, the "Equipment"). Our current packages are:
- Studio: 20 totes, $89 for the first week, includes 1 free dolly.
- 1 Bedroom: 30 totes, $109 for the first week, includes 1 free dolly.
- 2 Bedroom: 45 totes, $139 for the first week, includes 2 free dollies and one free swap mid-rental.

- 4 Bedroom: 80 totes, $229 for the first week, includes 3 free dollies, one free swap mid-rental, and priority scheduling.

Add-ons: extra totes are $15/week each; extra dollies are $20/week each.
Extra weeks. Each week after the first, including weeks you book up front, extensions you arrange, and automatic extensions under Section 7, is billed per week or part of a week at: Studio $30; 1 Bedroom $40; 2 Bedroom $50; 3 Bedroom $60; 4 Bedroom $70; 5 Bedroom $90. Add-on items keep their normal weekly rates ($15/week per tote, $20/week per dolly).
Sales tax. All prices and charges are plus applicable South Carolina sales tax.
Price match. We'll match a local competitor's price as described in our Terms of Service. Show us their price page before you book.
Prices shown at the time of your booking confirmation apply to your rental.
2. Rental Period
Rentals are booked in whole weeks, from 1 to 8 weeks. Longer rentals are available by request and must be confirmed by us in writing (email is fine). The rental period starts on your scheduled delivery date and ends on your scheduled pickup date ("Rental End Date").
3. Deposit, Payment, and Refunds
- Deposit. A $25 refundable deposit is due at booking.
- Rental charge. The full rental amount is billed at delivery to the payment method you provide at booking (your "Payment Method on File").
- Deposit return. We return your deposit after pickup once the Equipment comes back in good shape (see Section 6), minus any amounts we're allowed to deduct under Section 8.
- No refund for early return. If you finish early and return the Equipment before your Rental End Date, the rental amount is not refunded unless we agree otherwise in writing.
4. Cancellations and Schedule Changes
- Cancellation 24+ hours before delivery: full deposit refund.
- Cancellation within 24 hours of scheduled delivery: no deposit refund.
- Schedule changes. To change your delivery or pickup date or time window, contact us as early as you can at quotes@upstatetotes.com or 864-567-1817. Changes depend on availability and aren't final until we confirm them. Extending your rental is billed at the extra-week rates in Section 1 for each added week or part of a week.
5. Equipment Stays Our Property
The Equipment belongs to Upstate Totes at all times. You're renting it, not buying it. You may not sell, lend, sublease, rent out, or give the Equipment to anyone else, or take it outside the area where we've agreed to pick it up, without our written permission. If you'd like to keep totes (for example, because you're moving away from our service area), tell us — kept totes are charged at $15 per tote.
6. Taking Care of the Equipment
You agree to use the Equipment only for packing, moving, and storing household belongings, and to take reasonable care of it while it's in your possession.
"Good shape" means each tote comes back:
- not cracked, broken, or warped;
- with its lid (if one was provided) attached and working;
- not heavily soiled (dirt, grease, food residue, odors, mold, pet waste, or similar that needs more than a quick wipe-down); and
- not written on, painted, or stickered, other than removable labels that come off cleanly.
Normal wear and tear — light scuffs, minor scratches, and the ordinary marks of use — is fine and won't be charged.
Dollies should come back working, with all wheels, and free of heavy soiling.
Condition records. We may take photos or short videos of the Equipment when we drop it off and when we collect it, and we may count and inspect it at our facility after pickup. These records help both of us settle questions about counts, damage, or cleanliness fairly, and we'll share the relevant ones with you if we charge you for damage, cleaning, or missing items. If anything is missing, damaged, or dirty when you receive it, please tell us (a photo by text or email is ideal) within 24 hours of delivery so it isn't counted against you. Totes should also be kept out of smoky or damp places while in your care, since lingering smoke odor or mold counts as heavy soiling.
7. Late or Unreturned Equipment
- Due date. Equipment is due back by the end of business (7:00 PM) on your Rental End Date. If it isn't returned or ready for pickup by then, the rental automatically extends one week at a time.
- Extension charges. Each automatic extension (and any extension you arrange with us) is billed at the extra-week rates in Section 1 for each additional week or part of a week, until the Equipment is returned or picked up.
- Lost Equipment. Any tote not returned within 30 days after your Rental End Date (unless an extension was arranged) will be treated as lost and charged at $15 per tote. Unreturned dollies will be charged at $50 per dolly. Paying these charges doesn't give you ownership rights beyond what we agree to in writing, and we may still ask for the Equipment back.
- Damaged Equipment. Totes that come back damaged (not in good shape as defined above) are charged at $15 per tote.
- Missed pickup / no access. If we arrive during the confirmed pickup window and can't collect the Equipment (for example, it isn't out, we can't get access, or no one is there when someone needs to be), we may charge a $50 missed pickup fee per day until the Equipment is picked up, and we'll reschedule.
8. Authorization to Charge
You authorize us to charge your Payment Method on File, and/or keep all or part of your deposit, for:
- additional rental weeks and extension charges under Section 7;
- damaged, lost, or kept Equipment;
- cleaning of heavily soiled or permanently stained totes, at $8 per tote;
- missed pickup / no-access fees; and
- any other amount you owe under this Agreement.
Before or when we charge you, we'll send you an itemized notice by email explaining what was charged and why. If you think a charge is wrong, email us within 14 days of the notice and we'll review it in good faith.
9. Delivery, Pickup, and Access
- Service. Delivery and pickup are free within our service area. We schedule from 7 AM to 7 PM, subject to service area and availability. Scheduling times are windows, not guarantees.
- Permission to enter. You give us permission to enter your driveway, porch, yard, building entrance, or other agreed drop-off/pickup spot at the delivery and pickup addresses you provide, for the purpose of dropping off and collecting the Equipment. You confirm you have the right to give that permission (for example, from your landlord or HOA, if needed).
- Access info. If you give us gate codes or access notes, we'll use them only to complete your delivery and pickup.
- Unattended drop-off and pickup. If you ask for or allow unattended drop-off, you're responsible for the Equipment from the moment we drop it off. If you leave Equipment out for unattended pickup, you remain responsible for it until we collect it.
10. Prohibited Contents and Uses
Do not put any of the following in the Equipment:
- hazardous materials (including flammables, fuels, propane, chemicals, corrosives, explosives, ammunition, or batteries that are leaking or damaged);
- illegal items;
- perishable food or anything that can rot, leak, or attract pests; or
- living things (people, pets, animals, or plants); or
- wet or damp items, or anything likely to grow mold or mildew.
Don't stand on, sit on, or ride on the totes or dollies, and don't use them for anything other than moving and storing belongings.
11. Safe Use and Assumption of Risk
Moving is physical work. Please use common sense:
- Don't overload totes. Pack heavy items (books, tools, dishes) in smaller amounts and fill the rest with lighter items. As a guide, keep each tote to a weight you can comfortably lift with good form, and no more than 50 lbs.
- Stack only with lids closed and properly seated, heaviest totes on the bottom, and no higher than 3 totes high. Don't stack on uneven ground.
- Lift with your legs, get help with heavy loads, and keep walkways clear.
- On dollies, keep loads balanced and secured, don't exceed the dolly's rated capacity, go slowly on slopes, stairs, curbs, and ramps, and never let children ride or play on them.
You understand that lifting, carrying, stacking, and moving totes and using dollies involves a risk of injury and property damage, and you voluntarily accept those risks for yourself and anyone who helps you. You are responsible for supervising anyone who handles the Equipment, including helpers and children.
11A. Weather and Events Outside Our Control
We aren't responsible for delays, rescheduling, or missed service caused by things we can't reasonably control, such as severe weather, flooding, ice, road closures, accidents, vehicle breakdowns, illness, power or internet outages, or government orders. If one of these affects your delivery or pickup, we'll contact you as soon as practical to set a new time, and we won't charge you an extension charge or missed pickup fee for days a pickup is delayed for one of these reasons on our side. Weather or other events at your location don't relieve you of responsibility for the Equipment while it's in your care.
12. Your Belongings Are Your Responsibility
You are solely responsible for what you put in the Equipment, how you pack it, and insuring your belongings. Upstate Totes is not a moving company, storage facility, or carrier, and we don't take custody of, transport, or insure your belongings. We are not liable for any damage to, loss of, or delay involving your belongings or contents, including items left in totes at pickup. Please check every tote before pickup. Items left in totes may be discarded or donated after 30 days if we can't reach you to arrange return.
13. Release and Limitation of Liability
To the fullest extent permitted by South Carolina law:
- Release. You release Upstate Totes (including its owner(s)) and anyone working for or with us, from claims for injury, illness, property damage, or loss arising from your (or your helpers') use of the Equipment, except to the extent caused by our gross negligence or willful misconduct.
- Cap. Our total liability to you for any claim related to this Agreement or the Equipment is limited to the total amount you paid us for the rental that gave rise to the claim.
- No indirect damages. We are not liable for indirect, incidental, consequential, special, or punitive damages, such as lost wages, missed move dates, extra moving costs, or emotional distress.
- Equipment "as is." We clean and inspect totes between rentals, but the Equipment is provided "as is," without warranties beyond those that can't be waived under law. Please inspect the Equipment when you receive it and tell us promptly about any problem.
Nothing in this Agreement limits liability that cannot be limited under South Carolina law, including liability for gross negligence or willful misconduct where the law doesn't allow it to be excluded.
14. Indemnity
You agree to defend, indemnify, and hold harmless Upstate Totes (including its owner(s)) and anyone working for or with us, from claims, losses, and costs (including reasonable attorneys' fees) brought by anyone — including your helpers, guests, landlord, or neighbors — arising from your use or misuse of the Equipment, the contents you put in it, your breach of this Agreement, or any access you grant to the delivery or pickup location.
14A. Payment Disputes, Unpaid Balances, and Collection
- Talk to us first. If you question a charge, please contact us under Section 8 before disputing it with your bank or card issuer. Most issues can be fixed quickly with a refund or correction.
- Chargebacks. If you file a chargeback or payment dispute for a charge that was properly made under this Agreement, we may share your booking confirmation, electronic acceptance of this Agreement, itemized notices, condition photos, and related messages with the payment processor and card issuer to respond. If the dispute is decided in our favor, or you withdraw it, the amount remains owed.
- Unpaid amounts. If a charge to your Payment Method on File is declined or reversed and you don't pay within 14 days after we email you about it, we may refer the balance to a collection agency or file a claim (for example, in magistrate's court).
- Costs of collection. To the extent South Carolina law allows, you agree to pay the reasonable costs we incur to collect amounts you owe, including court costs and reasonable attorneys' fees.
- Recovery of Equipment. We may contact you, and visit the pickup address you gave us during reasonable hours, to recover Equipment that hasn't been returned.
15. Governing Law and Venue
This Agreement is governed by the laws of the State of South Carolina, without regard to conflict-of-law rules. Any lawsuit related to this Agreement will be brought in the state courts located in Greenville County, South Carolina (including magistrate's court for claims within its limits), and you and we consent to those courts.
16. Electronic Acceptance
When you check the box at booking (for example, "I agree to the Rental Agreement") or otherwise confirm your booking electronically, you are signing this Agreement electronically. Your electronic acceptance is legally binding just like a handwritten signature. You confirm you're at least 18 years old and authorized to use the Payment Method on File.
17. General Terms
- Entire agreement. This Agreement, together with your booking confirmation, is the entire agreement between you and us about your rental and replaces any earlier quotes, conversations, or website statements about it. If our website Terms of Service conflict with this Agreement on a rental matter, this Agreement controls.
- Changes. We may update this Agreement for future bookings. The version in effect when you book applies to that rental.
- Severability. If any part of this Agreement is found unenforceable, that part will be enforced as far as allowed and the rest stays in effect.
- No waiver. If we don't enforce something right away, we can still enforce it later.
- Assignment. You can't transfer this Agreement. We may transfer it to a successor business (for example, if the business is sold or reorganized).
- Text messages. By giving us a mobile number, you agree that we may send you texts and calls about your rental (such as booking confirmations, delivery and pickup updates, reminders, and itemized notices). These are service messages only, not marketing. Message and data rates may apply. Reply STOP to stop texts; we'll then use email and phone calls for rental communications.
- Notices. We'll send notices to the email you gave at booking. You can reach us at quotes@upstatetotes.com, 864-567-1817, or 201-B West Butler Rd, Suite 120, Mauldin, SC 29662.
18. Acceptance
By checking the acceptance box at booking, you confirm that you have read, understand, and agree to this Rental Agreement, including the assumption of risk, release, limitation of liability, and indemnity sections. No handwritten signature is required. We keep a record of your acceptance, including the date, time, and version of this Agreement you accepted.
